Sure, everyone tells nonprofit boards that the members are better to govern by creating policies instead of issuing commands, edicts, and approving staff plans and budgets. But what are policies? How do policies facilitate governing? Doesn’t the board relinquish control by issuing vague policies? Aren’t policies usually written, filed, and just forgotten — what good is that?

On May 25, 2016, the Xylem-Group explored how the board manages when it realizes that the organization does not seem to have the capacity to create the benefit, or change, or result for which it was founded. Is the problem a lack of funding or a lack of staff ability? Is the solution to lower the expectations and abandon some of the vision? We explored how to identify the board’s owners when the makeup of that cohort seems vague or ambiguous.

The nonprofit Policy Governance board must identify its owners, be able to link to them, and have confidence that the board is acting as a fiduciary for the owners. How does the board do this? What questions should be asked, and what research is required? What are the consequences of doing this poorly, and what are the benefits of doing it well? Does the staff have a role to play in linking the board and the owners?
